**ShareholderActivism Defense**

J.P. Morgan advises clients globally on a wide range of strategic transactions,
including mergers, acquisitions, divestitures, spin-offs, asset purchases and
dispositions, joint ventures, corporate defense assignments, restructurings and
reorganizations including advising clients on how to prepare for and respond to
shareholder activism. The Shareholder Activism Defense business
is a critical component of the firm's globally integrated investment banking

**The Role**

The successful candidate will play a central role in advising clients
with respect to preparing for and responding to shareholder activism as part of
J.P. Morgan's shareholder activism defense team. The Associate/VP's
responsibilities will include but not be limited to the following:

+ Create, maintain and review complexmaterials and analyses relating to shareholder activism and corporategovernance, including but not limited to analyses on shareholder activist hedgefunds, individual shareholder activists, annual meeting procedures includingproxy contests, and corporate vulnerability to shareholder activism includingstructural vulnerabilities in a company's charter and bylaws.

+ Manage day-to-day deal execution,interacting with senior deal team members, client management teams, transactioncounterparties and other advisors

+ Possess and acquire superior marketknowledge relating to developments in domestic and international shareholderactivism, governance best practices, proxy advisory firms, and be able toclearly articulate this knowledge to internal and external parties

+ Work independently, producing highquality deliverables such as investor presentations, fight letters, Boardmaterials and other presentation materials for use in shareholder activismdefense engagements or strategic client dialog

+ Leverage and coordinate the bank's resources onbehalf of the client, including industry knowledge from partners in industrycoverage groups and expertise from product partners in debt and equity capitalmarkets and corporate finance advisory


+ Bachelors'degree from a leading university; MBA is required for candidates that were notdirectly promoted from Analyst to Associate within a leading Investment Bank

+ Atleast 2 full years of experience in Capital Markets, Investment Banking or aCorporate Finance related role, law firm, proxy advisor or a corporategovernance related firm. Experience in M&A, law or corporate governance ishighly preferred, but will consider candidates on a case-by-case basis

+ Knowledgeof corporate finance and accounting, as well as understanding of corporatecharters, bylaws, and governance practices

+ Abilityto comfortably interact with clients in a professional and mature manner

+ Outstandingethics, integrity and judgment

+ Intellectualcuriosity, strong work ethics and desire to learn

+ Abilityto work in a fast-paced environment, handling multiple projects with differentdeal teams

+ Highlyorganized, detail oriented and proactive

+ Exceptionalwritten and verbal communication skills with specific ability to communicateconcepts and ideas concisely and defend their validity

+ Excellenttechnology skills with superior Excel and PowerPoint skills and ability toquickly learn new software applications
